Please read these Terms and Conditions carefully before using the GoCarriage Platform. By accessing or using our services, you agree to be bound by these Terms.
Section 1

Introduction and Acceptance of Terms

Welcome to GoCarriage, a technology platform that connects passengers with drivers and enables vehicle fleet management for individuals, businesses, and fleet operators. These Terms and Conditions ("Terms") govern your access to and use of the GoCarriage mobile application, website, and associated services (collectively, the "Platform") operated by GoCarriage Technologies Ltd. ("GoCarriage," "we," "us," or "our").

By creating an account, downloading the application, or otherwise using the Platform, you ("User," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy and any supplementary guidelines or policies incorporated herein by reference.

GoCarriage reserves the right to modify these Terms at any time. We will provide notice of material changes through the Platform or via email. Continued use of the Platform following such notice constitutes your acceptance of the revised Terms.

Section 2

Definitions

For the purposes of these Terms, the following definitions apply:

PlatformThe GoCarriage mobile application, website, APIs, and all related services provided by GoCarriage.
DriverAny individual who registers on the Platform to provide transportation services to Passengers.
PassengerAny individual who uses the Platform to request transportation services.
Fleet OperatorAny business or individual managing multiple vehicles through the Platform's vehicle management features.
TripA transportation service arranged through the Platform between a Driver and a Passenger.
VehicleAny motorized transportation unit registered and managed through the Platform.
GoCarriage FeeThe service fee charged by GoCarriage for facilitating connections between Users.
ContentAny information, data, text, images, or other materials submitted to or generated through the Platform.
Section 3

Eligibility and Account Registration

3.1 Eligibility Requirements

To use the GoCarriage Platform, you must:

  • Be at least 18 years of age (or the legal age of majority in your jurisdiction, whichever is higher).
  • Possess the legal capacity to enter into binding contracts under applicable law.
  • Not be prohibited from using the Platform under any applicable laws or regulations.
  • Provide accurate, complete, and current registration information.
  • Maintain the security of your account credentials at all times.

3.2 Driver Requirements

In addition to general eligibility requirements, Drivers must:

  • Hold a valid and current driver's license appropriate for the class of vehicle operated.
  • Maintain valid vehicle registration and all required insurance coverage as specified in Section 9.
  • Pass GoCarriage's background screening process, which may include criminal history, driving record, and identity verification checks.
  • Ensure their vehicle meets GoCarriage's vehicle standards and safety requirements.
  • Comply with all applicable local, state, and national transportation regulations and licensing requirements.
  • Maintain a minimum platform rating as determined by GoCarriage's quality standards.

3.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify GoCarriage of any unauthorized use of your account or any other security breach. GoCarriage will not be liable for any loss or damage arising from your failure to comply with these security obligations.

Section 4

Platform Services

4.1 Ride Services

GoCarriage operates as a technology intermediary, connecting Passengers seeking transportation with independent Drivers who provide such services. GoCarriage itself does not provide transportation services and is not a transportation carrier. The transportation contract is formed directly between the Driver and Passenger upon Trip acceptance.

GoCarriage facilitates the following ride service categories:

  • Standard Rides: Economy-class transportation for everyday travel needs.
  • Premium Rides: Enhanced vehicles and service levels for business or luxury travel.
  • Shared Rides: Cost-efficient carpooling arrangements with other Passengers travelling in similar directions.
  • Scheduled Rides: Pre-booked transportation arranged up to 7 days in advance.
  • Corporate Accounts: Managed transportation solutions for business clients with consolidated billing and reporting.

4.2 Vehicle Management Services

For Fleet Operators, GoCarriage provides a comprehensive vehicle management suite including:

  • Real-time GPS tracking and route monitoring for all registered fleet vehicles.
  • Driver assignment, scheduling, and performance management tools.
  • Fuel consumption monitoring, maintenance scheduling, and service reminders.
  • Financial reporting, trip analytics, and revenue management dashboards.
  • Compliance management tools including insurance tracking and license expiry alerts.
  • Multi-vehicle dispatching and optimization features.

4.3 Service Availability

GoCarriage does not guarantee continuous, uninterrupted access to the Platform. Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavor to provide advance notice of scheduled downtime where practicable.

Section 7

Privacy and Data Protection

7.1 Data Collection and Use

GoCarriage collects, processes, and uses personal data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and use of your data as described therein.

7.2 Location Data

The GoCarriage Platform requires access to precise location data to facilitate Trip matching, navigation, and safety features. By using the Platform, you grant GoCarriage and its service providers the right to collect and use your location data as necessary to provide the services. You may manage location permissions through your device settings, though disabling location access may impair Platform functionality.

7.3 Data Sharing

GoCarriage may share limited personal information between Drivers and Passengers as necessary to facilitate Trips (such as first names and vehicle information). GoCarriage does not sell your personal data to third parties for advertising purposes.

Section 8

Safety Standards and Emergency Procedures

8.1 Safety Commitment

GoCarriage is committed to the safety of all Platform Users. We implement multiple safety features including real-time trip tracking, emergency SOS functionality, driver identity verification, and trip sharing capabilities.

8.2 Safety Features

  • In-App Emergency Button: Directly connects Users to local emergency services with automatic location sharing.
  • Trip Sharing: Allows Users to share their real-time location and trip details with trusted contacts.
  • Two-Way Identification: Both Drivers and Passengers can verify each other's identity before commencing a Trip.
  • 24/7 Safety Team: GoCarriage maintains a dedicated safety response team available around the clock.
  • Incident Reporting: In-app tools to report safety concerns, accidents, or misconduct during or after a Trip.

8.3 Accidents and Incidents

In the event of an accident or safety incident, all parties should first contact emergency services if required. Users should then report the incident to GoCarriage through the Platform as soon as it is safe to do so.

Section 9

Insurance Requirements

9.1 Driver Insurance Obligations

All Drivers operating on the GoCarriage Platform are required to maintain, at minimum:

  • Valid comprehensive motor vehicle insurance that covers commercial passenger transportation activities.
  • Third-party liability insurance meeting or exceeding the minimum statutory requirements in the relevant jurisdiction.
  • Personal accident cover for the Driver as required by applicable regulations.

9.2 GoCarriage Contingency Coverage

GoCarriage maintains contingency insurance coverage that may apply during active Trips in certain circumstances. This contingency coverage is supplementary and does not replace or supersede the Driver's personal insurance obligations.

9.3 Passenger Protections

Passengers are covered under applicable regulatory frameworks and, where available, GoCarriage's contingency policies during active Trips. GoCarriage recommends that Passengers maintain their own personal accident and travel insurance for additional protection.

Section 10

Intellectual Property Rights

10.1 GoCarriage Intellectual Property

The GoCarriage Platform, including all software, designs, trademarks, logos, trade names, service marks, and content developed or owned by GoCarriage, is the exclusive property of GoCarriage Technologies Ltd. and its licensors. All rights not expressly granted under these Terms are reserved by GoCarriage.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purposes in accordance with these Terms.

10.2 User-Generated Content

By submitting Content to the Platform (including reviews, ratings, or communications), you grant GoCarriage a worldwide, royalty-free, non-exclusive, perpetual license to use, reproduce, modify, and display such Content in connection with operating and improving the Platform.

Section 11

Limitation of Liability and Disclaimers

GOCARRIAGE ACTS SOLELY AS A TECHNOLOGY PLATFORM CONNECTING DRIVERS AND PASSENGERS. GOCARRIAGE IS NOT RESPONSIBLE FOR THE ACTIONS, OMISSIONS, CONDUCT, OR BEHAVIOUR OF ANY USER, INCLUDING DRIVERS AND PASSENGERS, BEFORE, DURING, OR AFTER ANY TRIP.

11.2 Disclaimer of Warranties

THE GOCARRIAGE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. GOCARRIAGE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GOCARRIAGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.

GOCARRIAGE'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) TOTAL AMOUNTS PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED DOLLARS (USD $100) OR LOCAL CURRENCY EQUIVALENT.

Section 12

Indemnification

You agree to indemnify, defend, and hold harmless GoCarriage Technologies Ltd. and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

  • Your use of or inability to use the Platform.
  • Your violation of these Terms or any applicable law or regulation.
  • Your provision of transportation services as a Driver.
  • Any Trip or interaction facilitated through the Platform involving you.
  • Your infringement of any third-party rights, including intellectual property rights.
  • Any Content you submit to the Platform.
Section 13

Termination and Suspension

13.1 Termination by User

You may terminate your GoCarriage account at any time by following the account closure process within the Platform settings or by contacting GoCarriage customer support.

13.2 Termination by GoCarriage

GoCarriage reserves the right to suspend or permanently terminate your access to the Platform at any time, with or without notice, if GoCarriage determines in its sole discretion that:

  • You have violated these Terms or any supplementary policies.
  • Your conduct poses a safety risk to other Users or third parties.
  • You have engaged in fraudulent, deceptive, or unlawful activity.
  • Termination is required by applicable law or regulatory authority.
  • Your account has been inactive for an extended period as determined by GoCarriage.

13.3 Effect of Termination

Upon termination, your license to use the Platform immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive, including without limitation Sections 10, 11, 12, and 16.

Section 14

Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which GoCarriage Technologies Ltd. is incorporated, without regard to its conflict of law provisions.

14.2 Informal Resolution

Before initiating any formal dispute resolution process, parties agree to first attempt to resolve disputes informally by contacting GoCarriage's support team. GoCarriage will endeavor to resolve your concern within 30 days of receiving your complaint in writing.

14.3 Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by a recognized arbitration body in the applicable jurisdiction.

14.4 Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Section 16

General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy, Driver Agreement (where applicable), and any other policies incorporated herein, constitute the entire agreement between you and GoCarriage with respect to the subject matter hereof.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

16.3 Waiver

No waiver by GoCarriage of any breach of these Terms shall be deemed a waiver of any subsequent breach.

16.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without GoCarriage's prior written consent.

16.5 Force Majeure

GoCarriage shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, pandemics, war, or cyberattacks.

16.6 Language

These Terms are drafted in the English language. In the event of any conflict between the English version and any translation, the English version shall prevail.
